By enrolling or subscribing into any products or services offered by CodeBeeDo Academy Sdn Bhd, Code Whiz Academy and/or any of its related companies, subsidiaries or affiliates (herein referred to as “CodeBeeDo”, the “Company”, “our”, “we”), including, but not limited to, courses, classes, applications, workshops, events, programs competitions, and bootcamps (“Services”), the customer (herein referred to as “Customer”, “you”, “your”) acknowledges and agrees to our General Terms and Conditions as specified below (“Terms”). To be abundantly clear, “Customer” refers to anyone who enrols with CodeBeeDo and using any of the Services provided by CodeBeeDo (i.e., “Student” or “Participant”). If the Student/Participant is below 18 years of age and of legal age to enter into a binding agreement, both the parent/guardian of the Student/Participant plus the Student/Participant are jointly considered as “Customer” even if the parent/guardian is not directly using CodeBeeDo Service. Terms apply to all our Services (which can be conducted online) and also extends, but not limited to, our website, WhatsApp groups, Facebook groups, social media presence on platforms such as Facebook, Instagram plus any other form of communication.
By enrolling with CodeBeeDo and using CodeBeeDo Service, either for yourself or on behalf of a Student/Participant (if the Student/Participant is below 18 years of age or of legal age to enter into a binding agreement), you:
- acknowledge that you are the “Customer” as defined above, regardless of whether you are the Student/Participant;
- acknowledge that you have read and understood these Terms;
- confirm that all information you have given us in connection with your enrollment is complete, true and correct;
- accept that it is your responsibility to ensure that the personal information you have provided is current. Any changes to your name, address, email address, phone numbers, payment options or banking details shall be sent to us as soon as practicable with any relevant documentation;
- agree to be bound by these Terms each time you access or use any of the CodeBeeDo Services.
The Terms constitute a legally binding agreement between you and CodeBeeDo and if you accept these Terms, you agree that you are legally bound by them (“Agreement”). If you do not agree to any of these Terms, do NOT use any of the CodeBeeDo Services.
REVISION OF TERMS
CodeBeeDo, in our sole discretion, reserves the right to revise and update these Terms at any time, wholly or partially, by posting an updated version. You should visit this page periodically to review the most current Terms, because you are bound by them. Your continued use of the CodeBeeDo Service after a change to these Terms constitutes your binding acceptance of these Terms. Customers are responsible to check their emails/messages or pay close attention to any announcements made by CodeBeeDo and will not be able to claim that they are unaware of such changes.
1. GENERAL ENROLMENT

CodeBeeDo reserves the right to discontinue a Student’s enrollment at any time due to, including but not limited to, non-payment of Fee in part or in full, disruptive behaviour in class at any places where classes are conducted, negative impact on other Students’ learning and/or CodeBeeDo’s teachers, false or misleading information provided by the Customer.

Enrolment is only confirmed upon (i) successful payment (ii) completion of Student registration form (iii) acceptance of the Terms by clicking the button below.

CodeBeeDo reserves the right to reschedule a Student’s enrollment at any time taking into consideration class size and various other factors that may affect the effective conduct of the class(es).

CodeBeeDo reserves the right to change any pre-assigned teacher for any lesson as deemed appropriate or necessary.

| 1.5 |
Access to the course will be terminated if the account is used by another party other than the Customer or if there’s any violation of the Terms by the Customer and there will be no refunds of fee in all cases. All terminations shall be made in our sole discretion and that we shall not be liable to you nor any third-party for any termination of your account or access to our Services. |
2. FEE & COURSE DETAILS
| 2.1 |
The total fee, including but not limited to, application fee, registration fee, course fee or any other applicable fees (“Fee”) must be settled before the class commences. CodeBeeDo reserves the right to withdraw or preclude any Student from attending any class if Fee has not been settled. Our Fee could be structured in different forms for different Services. The Fee for some of the courses could be charged per lesson basis. However, despite the Fee for some of these courses being calculated per lesson basis, Customers will be charged for the total number of lessons within the designated course/program (regardless of how many lessons the Student is able to attend or ends up attending for the duration of the course/program). |

CodeBeeDo reserves the right to change Fee, promotional policy, course content, course materials and/or structure, at anytime, as appropriate, without further notice. All of which are subject to change from time to time. |
| 2.3 |
CodeBeeDo may use third-parties to process payments. Use of such third-party payment services is subject to their terms and conditions of use. Those third parties may charge fees to process such payments, and CodeBeeDo is not responsible for any fees charged by them. Also, CodeBeeDo disclaims all liabilities with regards to any fees or problems you may have with third-party payment processors. |

You will be able to view some of our courses via our platform for the duration of the course. The Services, especially any courses or content, are for your personal use and benefit alone, and not meant for commercial use. All other uses are strictly prohibited. This does not give you any right to resell the course or program in any manner, or display, distribute or make available the course or program or content to any third party in any manner, for a fee or otherwise. This includes, but not limited to, sharing account information with third parties, downloading the course, sharing or uploading the course on any platform. We reserve the right to terminate your account or access to any or all our Services at any time and there will be no refunds of Fee. |

CodeBeeDo will not collect or pay your taxes. “Taxes” shall include, but not by way of limitation, sales, use, value added, or transaction taxes and any other government-imposed fees and charges. You are responsible for determining and paying the appropriate taxes resulting from a transaction occurring through the CodeBeeDo Service. CodeBeeDo is not responsible for collecting, reporting, paying, or remitting to you any such taxes, unless required by law. |
3. CANCELLATION, CLASS ARRANGEMENT AND SAFETY POLICY
| 3.1 |
Students from the self-paced courses are allowed to schedule a replacement session if a minimum of 24 hours notice is given and there shall be no more than one replacement session per month. However, there is no guarantee that we will be able to find a suitable replacement session. If no suitable replacement session can be found, there will be no replacement session. |
| 3.2 |
Students from certain courses (does NOT include self-paced courses) may be given access to the recorded lesson which will be available for 14 days if he/she has missed a lesson. No replacement class will be arranged. |
| 3.3 |
There may be situation where classes may need to be re-arranged and this could be due to a variety of reasons. CodeBeeDo reserves the right to make any final arrangement, as appropriate. |
| 3.4 |
If classes cannot be conducted in centre, we will conduct the classes online (either via Zoom or other online software). No refunds will be made. If lessons are conducted online, Students will need a computer with the relevant, updated softwares installed in the same device. |
| 3.5 |
Our teachers will be off during public holidays and when the centre is closed. We will only be able to respond to emails/messages from Students after the break. |
| 3.6 |
CodeBeeDo reserves the right to make any changes to the courses/programs including curriculum, class size, class time, number of classes at any time as CodeBeeDo sees fit. |
| 3.7 |
Parents/guardians are solely responsible for the safety of the Students before and after class. |
| 3.8 |
CodeBeeDo is required to follow the guidelines of the public health warnings/announcement and reserves the right to enforce any rules in compliance with such announcement or to be prudent. To be prudent, classes may also be conducted online rather than in centre. Customers are required to follow these rules as announced by CodeBeeDo. |
4. USER CONDUCT AND BEHAVIOUR
| 4.1 |
You agree to participate in any Services with sincerity, diligence and not indulgence in any unethical, corrupt or illegal practice. This includes behaviour that amounts to cheating, collusion or any co-ordination action conducted with the intention to subvert these Terms or any conditions that may be applicable. |
| 4.2 |
You agree not to post or transmit any content, message or post that amounts to solicitation of a service or a business. |
| 4.3 |
You shall also not indulge in activities that amount to:
- Harassment of other users, instructors, CodeBeeDo personnel, or other third parties;
- Disparage, defame or bring disrepute to any person; or
- Show hostility, bully or create disharmony among other users or third parties.
We have the right to report any such suspicious activity to legal or law enforcement authorities without notice from time to time.

5. MARKETING, PROMOTION AND PERSONAL DATA
| 5.1 |
Unless otherwise specified or opt out in writing, all Customers agree, allow and grant CodeBeeDo irrevocable right and license to freely use all pictures, films and sound materials that have been created by CodeBeeDo or by the Customers, in any and all media, without further approval from or any compensation to the Customer for promotional or educational purposes. These include but not limited to all rights to images, footages, Customer/student’s work. We may or may not include your name and attribute the Student’s work to you. |

Personal data may be collected and/or processed by CodeBeeDo both within and outside Malaysia mainly for the purpose of registration, product and/or service provision and for general marketing/promotional purposes. CodeBeeDo reserves the right to inform clients of any new offers, products and services which may be of interest to Customers including but not limited to E-mail, WhatsApp, SMS, Facebook, Instagram or any other form of social media or communication channels. |

You understand and agree that the CodeBeeDo may disclose personally identifiable information if required to do so by law or in the good faith belief that such disclosure is reasonably necessary to comply with legal process, enforce this Agreement, or protect the rights, property, or safety of the Company, its users, and the public. |
6. INTELLECTUAL PROPERTY
| 6.1 |
All materials provided for use throughout the course are the copyrighted works of CodeBeeDo or the original content provider. Unless otherwise set forth, the materials are provided for the sole use of the person attending classes and may not be used by any other person and may not be reproduced, distributed or modified without the written permission of CodeBeeDo. CodeBeeDo courses/programs and online content and materials may also include third party materials and information made available to you by virtue of a license, grant or some other form of agreement. We are not responsible for inaccurate information provided through the CodeBeeDo Services, and we make no representation as to the quality, accuracy or completeness of any of the materials and do not assume any liability for any loss that may result from the reliance by any person upon any materials provided on or through the CodeBeeDo platform or Services. |

We make no warranty, express or implied, as to the suitability, accuracy or reliability of any materials provided or accessible through the CodeBeeDo platform or Services. |

Except when included in any authorised printouts of the materials, you are not authorised to make any use of any names, logos or taglines, including without limitation “CodeBeeDo” whether or not designated by such symbols in any fashion without the express prior written permission of CodeBeeDo. Nothing herein grants you any right, title or interest in any trade name, trademark, service mark, tagline or logo, technology or designs (whether or not the subject of a patent application) (together, “CodeBeeDo IP”). At no time during or after the term of this Agreement shall you, either directly or through any third party or agent, (i) challenge or assist others to challenge the CodeBeeDo IP or the registration thereof; (ii) attempt to register any designs, trademarks, marks, trade names, or trade dress confusingly similar to the CodeBeeDo IP; or (iii) incorporate any CodeBeeDo IP into any third-party designs, trademarks, product names, service marks, company names, domain names, or any other similar designations, without the prior written consent of CodeBeeDo. |
7. LIMITATIONS OF LIABILITY

CodeBeeDo, at all times, shall not be liable for any items or properties being lost or stolen at any of CodeBeeDo’s location for any reason whatsoever. Student/Customer agrees to be solely responsible for taking care of his/her own personal belongings at any of CodeBeeDo locations. |
| 7.2 |
You expressly understand and agree that the CodeBeeDo and its affiliates, their owners, directors, officers, employees, agents, service providers, partners and licensors (collectively referred to as the “Released Parties”) shall not be liable to you, or anyone else, under any theory of liability (whether in contract, tort (including negligence), statutory or otherwise) for any direct, indirect, incidental, special, consequential or exemplary damages, including, but not limited to, damages for loss or profits, goodwill, use, data or other tangible or intangible losses (even if CodeBeeDo has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the CodeBeeDo Service; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services obtained or messages received or transactions entered into through, from, or as a result of the CodeBeeDo Service; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any user or third party on the CodeBeeDo Service; (v) your reliance on content made available by us; or (vi) any other matters relating to the CodeBeeDo Service. |

While every care will be taken to ensure that the well-being and safety of the students during the activities, unforeseen circumstances may happen and in such event, you will not hold the Released Parties responsible for any losses, injuries and/or damages which the Student/Customer may suffer as a result of his/her participation due to any cause whatsoever. You hereby agree to hold harmless and indemnify Released Parties from any claims, actions, liabilities, costs, damages, losses, fees, and expenses sustained by Released Parties as a result of the negligence, misconduct, violation of any applicable laws and/or these Terms or intentional acts of the Customer/Student. We shall provide notice to you of any such claim, suit, or proceeding. We reserve the right to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defences. |
| 7.4 |
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations under “Limitations of Liability” may not apply to you. To the fullest extent possible by law, our maximum liability arising out of or in connection with the CodeBeeDo Service or your use of CodeBeeDo content, regardless of the cause of action (whether in contract, tort, breach of warranty or otherwise) will not exceed MYR100. This provision shall remain in full force and effect notwithstanding any termination of your use of the CodeBeeDo Service. |
INTERPRETATION
Words importing the singular include the plural and vice versa and words importing a gender include every gender and any reference to a person includes a reference to a body corporate or any unincorporated entity. The headings on this page are inserted for convenience only and shall not affect the construction of this Terms.

GOVERNING LAW AND DISPUTE RESOLUTION
The Agreement between you and CodeBeeDo will be governed by, and construed in accordance with the laws of the Singapore without regard to conflict of laws principles. Subject to specific agreements relating to dispute resolution, disputes shall be subject to the laws of Singapore and the courts of Singapore shall have exclusive jurisdiction over all such disputes.
